Lithuania Challenges OTP Bank Acquisition Over Russian Ties

The planned acquisition of Baltic lender Luminor by Hungary’s OTP Bank faces immediate scrutiny from Lithuanian regulators, who cite the buyer’s continued operations in Russia as a significant point of concern for the stability and integrity of the regional financial sector.

Lithuania’s central bank, acting as the nation’s primary regulator, confirmed that while formal acquisition documents have yet to be submitted, the Hungarian group's persistent presence in the Russian market prompts legitimate questions regarding the deal. Luminor, which holds total assets of 15.9 billion euros, remains a critical piece of the Baltic financial landscape with extensive operations across Estonia, Latvia, and Lithuania.

Because the European Central Bank and Estonian regulators will lead the approval process, the Lithuanian regulator’s stance adds a layer of diplomatic friction. OTP Bank maintains that it attempted to exit Russia following the 2022 invasion of Ukraine but was thwarted by shifting local regulations. The bank asserts it has ceased corporate lending and maintains rigorous sanctions compliance, though its Russian subsidiary recorded 460 million euros in dividend payments between 2023 and 2024. As Estonia, Latvia, and Lithuania continue to lead regional criticism of Moscow, this acquisition will likely serve as a litmus test for how EU regulators balance corporate expansion with geopolitical alignment.
